You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
SpotLight is an app-intelligence platform that consolidates customer feedback and signals — including reviews, social-media reach and mentions, web analytics, and competitor intelligence — analyzes them using artificial intelligence, and generates recommendations. We may modify, add, or discontinue features of the Service at any time.
The Service lets you connect third-party accounts and data sources (including, without limitation, Meta/Instagram/Facebook, Google/Google Analytics/Google Business Profile, app stores, review platforms, Trello, and ClickUp). By connecting an account, you authorize us to access and process data from that account to provide the Service. Your use of those third-party services remains subject to their own terms, and you represent that you have the right to grant us access. We are not responsible for third-party services or for changes to their APIs or availability.
As between you and the Company, you retain ownership of the data and content you submit or connect ("Customer Data"). You grant us a worldwide, non-exclusive license to host, process, and analyze Customer Data solely to operate and improve the Service and as described in our Privacy Policy. You are responsible for ensuring you have the necessary rights and consents for all Customer Data you provide.
The Service uses AI models to generate sentiment analysis, summaries, briefings, and recommendations ("Output"). Output may be inaccurate, incomplete, or unsuitable for your purposes and is provided for informational purposes only. You are solely responsible for evaluating and acting on Output, and you should not rely on it as professional, legal, financial, or business advice.
You agree not to: (a) use the Service unlawfully or in violation of any third-party terms; (b) reverse engineer, scrape, or resell the Service except as permitted; (c) upload malware or attempt to gain unauthorized access; (d) infringe others' intellectual property or privacy rights; or (e) use the Service to send spam or harass others.
The Service, including its software, design, and branding (SpotLight, Ryoken AI), is owned by the Company and protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights in and to the Service.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE [TWELVE (12)] MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless the Company and its officers, members, and employees from any claims, damages, or expenses arising out of your Customer Data, your use of the Service, or your violation of these Terms.
You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Service. Upon termination, your right to use the Service ends, and we may delete Customer Data in accordance with our Privacy Policy.
We may update these Terms from time to time. Material changes will be communicated by reasonable means, and continued use of the Service after changes take effect constitutes acceptance.
